In case of any discrepancy between the Chinese and English versions, the Chinese version shall prevail.
Article 1: Contract Subject
- Simple Information, Inc. (hereinafter referred to as "Simple Information") provides telecommunications networks and Internet connection systems for customers to engage in Internet-related services.
- Customers applying for virtual, cloud, or physical computing services (hereinafter referred to as "the Service") shall comply with these contract terms.
Article 2: Data Circuit Rental and Related Equipment Requirements
- When customers lease this Service from Simple Information, if data circuits are required, customers must either apply directly with Type I telecommunications operators or provide the necessary documents for Simple Information to process on their behalf. The rights and obligations arising between customers and Type I telecommunications operators regarding data circuit rental are unrelated to Simple Information.
- Network connection equipment required for data circuits leased from Type I telecommunications operators shall be provided and maintained by customers. Simple Information is not responsible for direct or indirect losses and compensation caused by customers' system errors or equipment failures.
- Simple Information bears no responsibility for any losses caused by poor transmission quality or service interruption from the Type I telecommunications operator providing data circuit services.
- Customers shall pay installation, relocation, and monthly rental fees for data circuits directly to Type I telecommunications operators, or may authorize Simple Information to pay on their behalf.
Article 3: Leased Equipment Management
- For equipment leased from Simple Information, ownership remains with Simple Information. Customers may not sell, lend, pledge, lease, transfer, or otherwise dispose of the equipment. In case of violation, Simple Information may immediately reclaim the equipment and demand compensation for all resulting losses.
- Customers shall exercise due care in managing and using equipment leased from Simple Information. In case of damage or loss, except for force majeure events, customers shall compensate Simple Information according to prices set by Simple Information.
- If equipment leased from Simple Information malfunctions, customers shall immediately notify Simple Information, which shall promptly resolve the malfunction or assist customers in solving related issues.
Article 4: Application and Changes
- Customers applying for the Service shall submit application forms along with company registration documents and company representative's identification documents.
- Customers shall guarantee that their application information is true and complete. Customers shall be responsible for any disputes arising from false information.
- For any service changes, customers shall complete relevant forms following Simple Information's prescribed procedures.
Article 5: Special Provisions
- Simple Information only provides Service-related services. As the Internet is an open network maintained by various providers, Simple Information cannot be responsible for the accuracy and completeness of information accessed by customers. Simple Information is not liable for direct or indirect losses resulting from transmission speeds or network data access.
- Simple Information has the right to suspend or terminate services or contracts if customers:
- Endanger communications or affect other users' rights.
- Send electronic messages to recipients' mailboxes without consent (including emails, SMS, or other information transmitted via communication devices).
- Mass distribute electronic messages to deliberately attack others' equipment.
- Spread computer viruses or programs that interfere with normal computer operation.
- Distribute threatening, defamatory, personal attacks, privacy violations, pornographic, or other content that violates public order and morals.
- Affect Simple Information's system operation or increase system load.
- Otherwise infringe upon others' rights or violate laws.
- Customers shall comply with international usage practices and shall not attempt to intrude into other systems, destroy network services, or engage in activities prohibited by public order, good morals, laws, or administrative/judicial orders.
- If customers violate the above provisions, they shall be responsible, and Simple Information may terminate services and disconnect hosted equipment to maintain service quality. Customers shall bear any consequences and potential losses.
- Customers shall not illegally resell, transfer, or provide IP addresses supplied by Simple Information to third parties. If violated, Simple Information may suspend or terminate services or contracts, and customers shall bear all legal responsibility.
Article 6: Payment Methods
- Service charges begin from the activation date as shown in the service application or change form. Customers with concerns must notify Simple Information within five days of receiving the activation notice; otherwise, customers are deemed to have confirmed and accepted the Service content and activation date.
- For system setup fees, monthly fees, etc., Simple Information issues bills one month before the due date for the following month's fees. Customers shall pay by wire transfer or cash check before the due date and fax the transfer receipt to Simple Information's accounting contact. Customers disputing fee calculations must notify Simple Information in writing with reasons within five days of receiving the payment notice; otherwise, customers are deemed to fully accept and shall pay fees as scheduled.
- Notifications are sent to addresses registered on the application form. If customers provide email addresses, they agree to electronic delivery. Address changes must be notified to Simple Information in advance in writing or electronically.
- For late payments, customers shall pay daily interest at 1% monthly rate from the day after the due date until actual payment, included in the next bill. Simple Information may terminate all services to customers.
- Service charges are calculated monthly. Even if actual usage is less than one month, fees are charged for a full month. However, if the agreement terminates for reasons not attributable to customers, charges are prorated based on actual usage.
- Monthly fees are settled according to the application form. Simple Information may adjust prices with one month's notice to customers, charging adjusted prices from the effective date.
Article 7: Taxation
Customers agree to bear all service-related taxes. If tax laws require Simple Information to collect taxes, customers agree to their inclusion in bills.
Article 8: Damage Compensation and Insurance
- Per Article 23 of the Telecommunications Act, Simple Information is not liable for damages from Type I telecommunications providers' line faults causing errors, delays, interruptions, or transmission failures, but will assist customers in contacting local Type I providers for repairs.
- For continuous interruptions exceeding 24 hours due to Simple Information's factors, disconnected time will not be charged and will be deducted from the next bill.
- Simple Information is not responsible for repairs or compensation for line interruptions or equipment damage from force majeure events like typhoons, earthquakes, tsunamis, floods, or war.
- Both parties agree Simple Information's total liability is limited to Item 1, excluding indirect damages, business losses, or other damages. Customers should obtain relevant insurance as needed.
Article 9: Service Termination
- If customers violate these terms and fail to improve within fourteen days of Simple Information's written notice, Simple Information may immediately terminate this agreement. Such termination does not affect Simple Information's right to claim damages.
- The Service automatically renews for one year if customers don't provide written non-renewal notice 30 days before expiration. Customers may terminate with 30 days' written notice and completion of written termination application. Type I telecommunications circuit fees collected by Simple Information are calculated based on actual termination dates; customers cannot refuse payment citing service termination.
- Customers may terminate during the service period or automatic renewal period but must pay the following termination fees as reasonable estimates of actual damages and penalties:
- Termination before service start notification: Three months' service fees.
- Termination after service activation but before period expiration: Clear outstanding invoiced fees plus the full amount Simple Information would have collected for completing the service period.
- Customers shall exercise due care with Simple Information's network equipment and return it upon service termination. If customers cannot return, lose, damage equipment, or require repeated collection attempts, they shall compensate at Simple Information's set prices.
Article 10: Change Compliance
If Simple Information must suspend or terminate all or part of the Service due to legal, administrative/judicial orders, changed circumstances, or business needs, customers agree to comply with one month's advance notice.
Article 11: Personal Data Protection
- Simple Information shall keep customers' personal data confidential and use it only within the minimum necessary scope for contract fulfillment. By signing, customers consent to such use. Except as provided herein or when customers exercise legal rights (Taiwan's Personal Data Protection Act and/or EU GDPR), or in the following cases per Article 20.1 of the Personal Data Protection Act, Article 7 of the Telecommunications Act, or other relevant laws, Simple Information shall not disclose to third parties:
- Judicial, supervisory, or law enforcement agencies' criminal investigation or evidence collection needs.
- Other government agencies' legitimate public authority execution needs.
- Public safety agencies' emergency rescue needs.
- Under Taiwan's Personal Data Protection Act and within Simple Information's necessary contract fulfillment scope, customers may: query, review, request copies, request supplements or corrections, request collection/processing/use cessation, request deletion.
- EU residents may exercise GDPR rights within Simple Information's necessary contract fulfillment scope: data subject access, rectification, erasure (right to be forgotten), processing restriction, portability, objection.
- Undefined matters follow the Company's Privacy Policy.
Article 12: Agreement Modification
- Modifications, deletions, or additions require both parties' agreement via signed documents. For disputes, contact persons shall convene coordination meetings for joint resolution.
- This agreement constitutes the entire contract regarding Service rental, superseding all previous oral communications, written suggestions, negotiations, statements, commitments, and other communications.
Article 13: Unspecified Matters
- Unspecified matters shall follow relevant Republic of China laws, National Communications Commission (NCC) regulations, Taiwan Network Information Center (TWNIC), and Asia Pacific Network Information Centre (APNIC) standards and recommendations.
- Attachments are integral to this agreement; if conflicting with these terms, these terms prevail.
Article 14: Jurisdiction
Both parties agree the Taiwan Taipei District Court has first-instance jurisdiction over all disputes arising from this agreement.
